Xiaomi India, one of the leading smartphone manufacturers in the country, finds itself in hot water as it has received a show-cause notice from the Adjudicating Authority in India. The notice comes as a result of a complaint filed by the Enforcement Directorate (ED) regarding alleged illegal remittances made by the company amounting to a staggering Rs 5,551.27 crores. This significant sum was seized by the authorities in April last year, making it the largest seizure order in India to date under the provisions of the Foreign Exchange Management Act (FEMA).

 

The Enforcement Directorate had frozen Xiaomi India’s assets worth $676 million in 2022, accusing the company of disguising illegal remittances to foreign entities as royalty payments. After a period of relative calm, the show-cause notice has once again put Xiaomi India under scrutiny. This notice serves as a legal document demanding an explanation from the company, its officials, and the associated banks regarding the alleged FEMA violation.

 

Xiaomi India, officials, and banks face the heat

According to reports, Xiaomi India, its officials including Chief Financial Officer Sameer Rao and former Managing Director Manu Jain, and three banks—CITI Bank, HSBC Bank, and Deutsche Bank—have all been served with the show-cause notice by the Adjudicating Authority in India. The show-cause notice is a legal instrument that seeks to establish the reasons behind the alleged FEMA violation, specifically pertaining to the illegal remittances amounting to Rs 5,551.27 crores.

 

The Enforcement Directorate has stated that the seizure order has been confirmed by the Competent Authority appointed under Section 37A of FEMA. The Authority has acknowledged that Xiaomi India transferred foreign exchange out of the country in an unauthorized manner, holding the funds outside India on behalf of a group entity. This action is deemed to be in contravention of Section 4 of the Foreign Exchange Management Act, 1999, and is therefore subject to seizure under the provisions of Section 37A of FEMA.

 

Understanding the FEMA violation

The central issue, in this case, revolves around the misuse of royalty payments as a means to transfer foreign exchange out of India. Royalty payments, which are typically legitimate transactions between companies, are being questioned in this instance due to the alleged unauthorized transfer of funds outside the country. The show-cause notice challenges the legality of these remittances, seeking clarification and justification from Xiaomi India, its officials, and the associated banks.

Xiaomi India, along with its officials and the banks involved, will now have to respond to the show-cause notice and present their side of the story.
